This is in response to your letter of May 15, 1989 requesting an amendment to the above-noted advance income tax ruling dated October 27, 1988.  We hereby confirm that the date for completion of the proposed transactions referred to on page 9 therein is amended to read December 31, 1989 instead of April 30, 1989.
