Dear Sirs:

Re:  Fair market value of shares

We are writing in response to your letter of March 8, 1990 in which you requested a technical interpretation as to whether a particular method of determining the fair market value of the shares of a public corporation, issued pursuant to an employee stock option plan, is appropriate.

The determination of the fair market value of such shares is a valuation matter and as such we are unable to comment thereon.  You may wish to refer you enquiry to the Business Equity Valuation Section of the Toronto District Office.
