Dear Sirs:

This is in reply to your letter of May 1, 1991 and further to our letter of April 17, 1991 concerning employee benefit plans and retirement compensation arrangements funded through the acquisition of life insurance policies.

We have considered the arguments put forth in your letter and agree that the comments in our letter of April 17 may not be correct in all situations.  However, we are not prepared to consider the matter further at this time other than in the context of an advance ruling request submitted in the manner set out in Information Circular 70-6R2.
