Dear Sirs:

We are writing in response to your letter of August 3, 1989 in which you gave requested our opinion on the subject of Asset-Backed Commercial Paper.

The facts in your letter appear to relate to actual proposed transactions.  Therefore, we are unable to comment on the income tax consequences of the transaction you described.  We would be prepared to consider these transactions in the context of an advance income tax ruling request.
